Daniel Hoffman

Chief Executive Officer

Daniel Hoffman, 66, has served as the Chief Executive Officer of our Company since its incorporation on February 9, 2026 and has served on our board of directors since the commencement of our listing on Nasdaq. He is the Founder and CEO of The Monday Group, a multi-family network investing in a broad variety of assets, which he founded in May 2023. The Monday Group and its members have invested across financial services, strategic resources, defense technology, and artificial intelligence, targeting high-growth opportunities with institutional-scale potential. Since November 2024, Mr. Hoffman has also served as Vice Chair of Collective Capital Management. Mr. Hoffman has been a director of Rithm Property Trust Inc. (NYSE: RPT), a real estate investment trust formerly known as Great Ajax Corp., since June 2024, where he also previously served as a director from June 2014 to June 2016, as chair of the nominating and corporate governance committee and a member of the audit committee and the compensation committee. Mr. Hoffman was a director of Inflection Point Acquisition Corp. III (Nasdaq: IPCX) from January 2025 through August 2025 and served on the audit committee and compensation committee. Between May 2016 and May 2023, Mr. Hoffman was Managing Director of Residential Real Estate Funds at Cerberus Capital Management, L.P., a global alternative investment firm. Prior to that, he was Managing Director and Co-Head of U.S. Securitized and Structured Products and Head of Sales at the Royal Bank of Canada Capital Markets from 2015 to 2016. He also taught property investment and financing classes at Baruch College’s Zicklin School of Business from 2013 to 2015. Mr. Hoffman served as Managing Director at Amherst Pierpont Securities LLC, a subsidiary of Amherst Holdings LLC, from 2010 to 2015. From 2008 to 2010, he was Managing Director of Securitized Products at the Royal Bank of Scotland. Prior to that, Mr. Hoffman held various positions at Bear Stearns and Co. Inc. from 1986 to 2008, including Senior Managing Director of the Fixed Income Division and Head of U.S. Securitized Products, Mortgage and Interest Rate Sales. During his time at Bear Stearns and Co. Inc., he was also a member of the President’s Advisory Council. Mr. Hoffman began his career at NBC Television in 1984, where he held various finance and administrative positions in several NBC divisions until 1986. He holds an M.B.A. from the Chicago Booth School of Business and a B.S. in Economics from Binghamton University. We believe Mr. Hoffman is qualified to serve on our board of directors due to his extensive investment and financial experience and his service on the board of directors of public companies.

Samuel Sayegh

Chairman, President and Chief Financial Officer

Samuel Sayegh, 36, has served as our Chairman, President and Chief Financial Officer since our incorporation on February 9, 2026. Mr. Sayegh is the Co-founder of UNCAP Investment Management LLC, an investment firm founded in April 2021 that focuses on digital assets and other alternative investments. He has also served as partner, since June 2025, of Collective Capital Management LLC, an investment holding company focused on uncorrelated alternatives. Since January 2025, Mr. Sayegh has served on the board at SPARK Neuro, Inc., a privately-held neuroscience software company, where he previously held roles including CFO and President of the Defense and Intelligence business unit between September 2018 and June 2021. Previously, Mr. Sayegh was a director of Inflection Point Acquisition Corp. II (Nasdaq: IPXX), from May 2023 to March 2025, and served on the audit committee as chairman. Earlier in his career, Mr. Sayegh worked on the Consumer and Education team at LLR Partners, a growth private equity firm, and he began his career in investment banking in the industrials group at Royal Bank of Scotland. Mr. Sayegh attended the University of Pennsylvania, where he graduated in 2011 with a B.S. from the Wharton School and a B.A. from the College of Arts & Sciences. We believe Mr. Sayegh is qualified to serve on our board of directors due to his experience in alternative asset management, financial leadership experience, and his public company board and audit committee service.

Rear Admiral (Ret.) Matthew Burns

Independent Director

Rear Admiral (Ret.) Matthew Burns, 57, has served on our board of directors since the commencement of our listing on Nasdaq. After enlisting in the United States Navy in 1988, RADM Burns completed Underwater Demolition/SEAL training, after which he served as an enlisted SEAL at SDV Team ONE, SEAL Team FIVE, and Naval Special Warfare Development Group (DEVGRU), the Navy’s Special Mission Unit. After commissioning via the Seaman to Admiral program, he continued service with the Special Mission Unit as an officer, beginning as a Troop Commander and eventually rising to Commander of the entire organization (DEVGRU). After his promotion to flag officer, he served as Director of Operations and Assistant Commander at Joint Special Operations Command and then as a Joint Task Force Commander at United States Special Operations Command. He retired from the Navy in 2025 and now serves on the Federal Advisory Board of Ditto (a VC-backed edge computing company), Advisor to Odin Dynamics (advanced unmanned underwater vehicles), works as a consultant to RDR, Inc. (where he provides unique subject matter expertise to customers inside the Department of War), serves as an advisor to Tareyton Venture Partners (where he advises on federal business strategy), serves as an advisor to Daivin! Inc. and serves as a Senior Fellow at the Center for Naval Analyses. Over the course of his distinguished career, he has trained and led the nation’s most elite warfighters in combat, earned decorations for valor under fire, identified and fast-tracked the adoption of classified next-gen technologies (across Special Operations, cyber, and space), managed multi-billion dollar budgets, and personally commanded and executed classified national priority missions under the direction of the President of the United States. We believe Rear Admiral (Ret.) Matthew Burns is qualified to serve on our board due to his extensive experience in defense and defense technology, national security, and the leadership and management of large organizations.

Lieutenant General (Ret.) Francis Beaudette

Independent Director

Lieutenant General (Ret.) Francis Beaudette, 58, has served on our board of directors since the commencement of our listing on Nasdaq. After commissioning as an intelligence officer through the Reserve Officers’ Training Corps program at The Citadel in 1989, LTG Beaudette initially served in armor and intelligence assignments in Germany, Saudi Arabia and Iraq before completing Special Forces training in 1995. After earning his Green Beret, he held command and staff positions across the 3rd, 10th and 1st Special Forces Groups (Airborne), including command of 1st Battalion, 10th Special Forces Group (Airborne) and Special Operations Task Force 10 in Afghanistan, and command of the 1st Special Forces Group (Airborne) and Joint Special Operations Task Force – Philippines. He subsequently served as the assistant commanding general of Joint Special Operations Command, the deputy commanding general of the 1st Armored Division, and the director of United States Central Command Forward (Jordan), before commanding the 1st Special Forces Command (Airborne). His final assignment was as the Commanding General of the United States Army Special Operations Command from June 2018 until September 2021, where he oversaw a 36,000-person organization and managed a five-year, $28 billion budget. Over the course of his 32-year career, LTG Beaudette accumulated six years of combat and operational deployments across the Middle East, Africa, the Balkans and Asia-Pacific. Since retiring from the U.S. Army, LTG Beaudette has served as an advisor to Sigma Defense, Ridgeline, Navigators Defense, Fraym and Regent Defense, and has served on the advisory boards of the Patriot Foundation, Gold Star Teen Adventures, UNC’s Matthew Gfeller Center THRIVE program and the Special Operations Warrior Foundation. LTG Beaudette graduated cum laude from The Citadel in 1989 with a B.A. in Modern Language, where he was recognized as a Distinguished Military Graduate and Distinguished Graduate. He holds a Master of Military Arts and Science from the U.S. Army Command and General Staff College and an M.S. in National Security Studies from the U.S. Army War College. We believe Lieutenant General (Ret.) Francis Beaudette is qualified to serve on our board due to his extensive experience in defense and defense technology, national security, and the leadership and management of large organizations.

James Shekerdemian

Independent Director

James Shekerdemian, 60, has served on our board of directors since the commencement of our listing on Nasdaq. Mr. Shekerdemian has most recently served as the Chief Revenue Officer of Level E Research from January 2025 until October 2025. Mr. Shekerdemian served as a Managing Director at Maybank Securities (SET: MST) from January 2022 until September 2022. Before then, from February 2012 through September 2020, Mr. Shekerdemian held several roles with Societe Generale, including Managing Director at Newedge (acquired by Societe Generale in May 2014), EMEA Head of Hedge Fund Sales, Global Head of Hedge Fund Sales and APAC Head of the Prime Services Division, overseeing Equities, Fixed Income and Derivatives within the division. He managed multi-disciplinary teams in various countries across the region. From September 2007 until September 2012, Mr. Shekerdemian served as a Managing Director at Bear Stearns, which was acquired by JPMorgan Chase & Co. (NYSE: JPM). Prior to that he had nearly 20 years of Investment Bank & Brokerage experience in the U.S., Europe & Asia, focused on Institutional Sales and Business growth. He graduated from DePaul University, where he received a B.S. in Business and Marketing in 1989, and from Arizona State University, where he received an M.B.A. in International Business with Japanese in 1990 from the American Graduate School of International Management. We believe Mr. Shekerdemian is qualified to serve on our board of directors due to his extensive experience in global capital markets, prime brokerage and hedge fund sales, SPAC-related services, senior commercial leadership roles, and his prior public company senior management positions.

Gregg Felton

Special Advisor to the Board

Mr. Felton is the co-founder and Chief Executive Officer of Altus, one of the largest commercial-scale providers of clean electric power in the United States. He took Altus public in December 2021 via merger with a CBRE-sponsored SPAC and later took Altus private in Q2 2025 via all-cash acquisition by TPG Rise Climate Transition Infrastructure. Before co-founding Altus, Mr. Felton was a Partner of Goldman Sachs and the Chief Investment Officer of the Credit Alternatives platform at Goldman Sachs Asset Management (GSAM). Prior to joining Goldman Sachs, he was a senior portfolio manager at Amaranth Advisors, a multi-strategy hedge fund located in Greenwich, Connecticut, where he led Amaranth's global corporate credit investment team from 2000 to 2006. Mr. Felton holds a bachelor's degree in economics from Tufts University and a JD and MBA from the Georgetown University Law Center and School of Business.
